JOB PURPOSE 
A dynamic and enthusiastic Contracts (Tendering) Specialist is required to be responsible for ensuring that contractual activities are effectively managed from initial tendering stage through to contract handover to the project delivery team. 

You will be responsible for identifying commercial and legal risks via the contract terms and ensuring that opportunities are maximised throughout the contract lifecycle and the negotiation of contract terms with customers and suppliers and ensuring the business remains compliant with its corporate governance processes.

PRINCIPAL ACCOUNTABILITIES

  • Review customer contract terms and conditions and providing qualifications which balance Company risk appetite against the customer’s requirements.
  • Assist tendering team with Preparation and co-ordination of tender submissions in a structured approach, providing specialist non-technical tendering expertise, coordinating all aspects of the tender in accordance with processes and client requirements
  • Highlight major commercial, contractual or financial risks or issues relating to the tender submission
  • Conduct commercial handovers which highlight major commercial/ contractual risks
  • Consulting with other employees on key project risks and managing those via the contract terms.
  • Consulting and liaising with management, the James Fisher Group Legal and Group Insurance teams on key liability and insurance issues, significant disputes and litigation and larger projects and bespoke agreements
  • Manage contractual aspects of management of Sub-Contractors and major purchase orders
  • Provide contractual support during project execution
  • Drafting and reviewing contractual terms for MSA, project contracts, MoU’s, Confidentiality Agreements, etc.
  • Provide all commercial and contractual advice to management team to assist with pricing strategy
  • Preparation and co-ordination of tender submissions
  • Assist in tender process from submission through to project handover
  • Managing the negotiation of contracts through to conclusion and sign-off, including contract handover process and project delivery
  • Working with our standard terms and conditions and agreements where possible to ensure the business’ interests are protected.
  • Drafting bespoke terms and conditions to ensure subcontract agreements reflect the supply chain risk and allocation of liability as appropriate.
  • Supporting the tendering team where required
  • Reviewing and advising on confidentiality agreements, Fisher Offshore standard terms and conditions and contract formation including “the battle of the forms”.
  • Ensuring the business complies with the James Fisher’ Group’s corporate governance processes and procedures including the Group’s compliance agenda and contracting principles.

QUALIFICATIONS AND EXPERIENCE

Essential

  • Familiar with contract review process and key contract terms and conditions
  • Aptitude for analysing and mitigating risk
  • Experience with preparation and coordination of Tender submissions
  • Commercial, assertive and diplomatic
  • Delivery focused and commitment to achieving Company strategic objectives
  • Works well under pressure and can work to deadlines
  • Strong communication and stakeholder management skills
  • Self-motivated and not afraid to use their initiative
  • Flexible and enjoy working as part of a dynamic team
  • Will to assist other team members where necessary
  • Adept at dealing directly with directors, senior managers, customers and suppliers

Desirable

  • Knowledge of contract and commercial law
  • Reviewing and negotiating master service agreements and framework agreements
  • Knowledge of LOGIC contracts
  • Comfortable negotiating and drafting knock for knock indemnity clauses
  • Comfortable negotiating and drafting limitation of liability clauses
  • Experience of free drafting contract terms and conditions
  • Experience working within a corporate governance framework
